How the Hackathon Works: TribalScale and AccuWeather will co-host a Hackathon, where contestants will compete in groups of 2 to 4 individuals to create a new product (“Product”) that combines both AccuWeather weather data (via API) and connected devices / sensors / hardware provided by TribalScale. The weekend event will begin Friday Sept 23rd, 2016 at 6:00 p.m, at the TribalScale offices located at 48 Yonge St. Contestants are sometimes referred to below as “You” or “Your” and TribalScale and AccuWeather are sometimes referred to as “Us”, “We” or “Our”.

Eligibility to Participate: The Hackathon is open to registered participants of the Hackathon who are at least 16, or the age of majority in the jurisdiction where they reside, whichever is older. Employees and directors (and their immediate families and those living in their same households) of AccuWeather, Inc. (“AccuWeather”) and TribalScale are prohibited from entering. The Hackathon is void where prohibited by law and is subject to all applicable local, state and federal laws. If you are an employee of a government agency, academic institution or corporation, you are responsible for ensuring that your participation in the Hackathon complies with any policies your corporation, agency, or institution may have. We are not responsible for any disputes arising between you and your employer.

Judging criteria: Presentation (15%); Problem Being Solved (20%) ; Commercial Opportunity (20%) ; Creativity / Originality (20%) ; Technical Difficulty (20%) ; User Experience / Polish (5%).

Judges: A panel of judges comprised of AccuWeather employees, TribalScale employees and other members as determined in the sole discretion of AccuWeather and TribalScale.

Representations.  You represent and warrant the following:

you will not submit content that is copyrighted, protected by trade secret or otherwise subject to third party intellectual property rights or other proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the content and to grant us all of the rights granted herein;

you will not submit content that is unlawful, defamatory, obscene, libelous, pornographic, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense,
We will not be obligated to pay any compensation to, or permit any participation by, any third party in connection with the use, reproduction, modification, publication, display or other exploitation of any of the content that you submit;
the content submitted by you does not contain any viruses, Trojan horses, worms or other disabling devices or harmful code.

Ownership of Intellectual Property:  You retain full ownership of your Product (excluding the weather API provided by AccuWeather and any hardware supplied by TribalScale). However, by participating in the Hackathon, You grant Us an irrevocable, non-exclusive, transferable, royalty-free, worldwide right and license to: (a) use, review, assess, test, and otherwise analyze your Product and all its content in connection with the Hackathon; (b) feature your Product and all its content for promotional purposes (including, but not limited to, in advertisements, press releases, presentations, and trade shows) in all media, now known or later developed; and (c) use your name, likeness, photographs, audio-visual footage, comments, and any other record of your participation in the Hackathon for promotional purposes at any time and in any media. You agree that we may use any information in Our employees’ unaided memories in the development or deployment of our products or services without liability or compensation to You. You also agree to sign any necessary documentation that may be required for us and our designees to make use of the rights you granted.

 

If You intend to commercialize the Product within two (2) years following the Hackathon and receive a bona fide, verifiable, arms-length offer from a third party to provide weather for Your Product and You wish to utilize such third party for such content, You shall provide to AccuWeather the first right of refusal to supply such weather content and if AccuWeather agrees to supply same, it will do so under terms and conditions which are as favorable or more favorable than such bona-fide competing offer.   Upon receipt by AccuWeather from You of the offer in writing, AccuWeather shall have thirty (30) days to exercise its first right of refusal provided that You provide to AccuWeather all relevant information about such offer.

 

Other Technologies: You are allowed to use other sample code, libraries, SDKs, and APIs in the Hackathon as long as these technologies are:
Publicly available and discoverable - for the purpose of Other Technologies, this shall mean available on the internet as of (Date of Event) indexed and reachable through the top three search engines (Google, Bing, Yahoo).
2) Easily accessible (i.e., anyone can download or access if signup is required, access must be granted within 3 hours).
Disclosed to Us.


Miscellaneous: By participating, You agree to release AccuWeather, Inc., TribalScale,  their respective affiliates, subsidiaries and agents, including each of their respective directors, employees and officers (collectively "Releasees"), from any and all liability arising from or in connection with participation in this Hackathon, or the awarding, receipt or use of any prize. By entering, You further agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Hackathon Rules, participant's rights and obligations shall be governed by, and construed in accordance with, the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Pennsylvania or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Pennsylvania. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Pennsylvania.
